1. Acceptance of Terms

By accessing or using Raycharts ("the Service"), operated by Raycharts Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Raycharts is a web-based trading journal and analytics platform. The Service allows users to import, log, and analyze trading activity across multiple brokers and accounts. Raycharts is not a broker, financial advisor, or trading platform. We do not execute trades, provide investment advice, or manage funds on your behalf.

3. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for all activity that occurs under your account.

5. Subscription & Payments

Raycharts offers paid subscription plans (Starter, Pro, and Elite). By subscribing, you authorize us to charge the applicable fees to your chosen payment method on a recurring basis (monthly or annually) until cancelled. Prices are listed in USD and may be updated with 30 days' notice. The Elite plan is custom-priced and requires contacting our team.

6. Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period. No partial refunds are issued for unused time within a billing cycle.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. We do not sell your personal data or trading information to third parties. Broker API connections are read-only -- we never place trades or modify your brokerage accounts.

8. Intellectual Property

All content, design, code, and functionality of Raycharts are the exclusive property of Raycharts Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

9. User Content

You retain ownership of all data, notes, and content you upload to Raycharts. By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you. We will not use your trading data for any purpose beyond delivering the Service.

10. Prohibited Use

You agree not to: (a) reverse engineer, decompile, or disassemble any part of the Service; (b) use the Service to develop a competing product; (c) share your account with unauthorized users; (d) attempt to gain unauthorized access to our systems; (e) use automated tools to scrape or extract data from the Service.

11. AI Features Disclaimer

Raycharts includes AI-powered features such as Ask Ray, trade summaries, and coaching insights. These features are for informational and educational purposes only. AI-generated content does not constitute financial advice, trading recommendations, or guarantees of performance. You are solely responsible for your trading decisions.

12. Limitation of Liability

To the maximum extent permitted by law, Raycharts Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, or data loss, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy of any analytics, metrics, or AI-generated insights.

14. Indemnification

You agree to indemnify and hold harmless Raycharts Inc. and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.

16. Termination

We may suspend or terminate your account at our discretion if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Raycharts Inc. is incorporated, without regard to conflict of law principles.
